The Ministry of Corporate Affairs (MCA) issues a Company Incorporation Certificate as proof of a registered company in India. The certificate serves as proof of the company’s existence and contains fundamental information such as the name of the company, corporate identification number, and the date of incorporation.
Steps to Obtain Company Incorporation Certificate
To obtain your Certificate of Incorporation (COI). Also, follow the steps below:
1. Select a Business Type
- Is it a Private Limited Company (Most Common for Businesses & Startups)
- Limited Liability Partnership (LLP)
- One Person Company (OPC)
- Public Limited Company
2. Submit Application for Digital Signature Certificate (DSC)
A DSC must be obtained by directors from a government recognized agency (eMudhra, Sify, NSDL).
3. Submit Application for Director Identification Number (DIN)
A company director receives a DIN with the SPICe+ form during incorporation.
4. Unique Company Name Reservation (SPICe+ Part A)
- Make a name reservation application through the MCA website.
- Also, names have to be original and follow MCA rules.
5. MOA & AOA Drafting
- Memorandum of Association (MOA): Stipulates the purpose of the company.
- Articles of Association (AOA): Specifies how the company will be managed internally.
6. Submission of SPICe+ Part B for Company Registration Application.
Complete the submission of SPICe+ Form Undersigned B by attaching the following documents:
- MOA and AOA
- Order of verified office accompanied by supported documents such as ownership proofs or rent agreements.
- Details of directors which include PAN, Aadhaar, and Director Identification Number (DIN).
- Owner’s NOC for the property where registered office is situated (where applicable).
7. Certificate of Incorporation Issuance (COI).
Upon successful verification, the Ministry of Corporate Affairs (MCA) will electronically issue the incorporation certificate of the company SPICe which is integrated with the certificate of incorporation.
The COI is assigned the CIN, which is corporate identification number that is critical to the functions of the business.
How can one obtain the Incorporation Certificate?
- Reach the MCA portal at www.mca.gov.in
- Navigate to the MCA services and click on View Public Documents.
- A screen will appear asking for either Company Name or CIN so proceed to enter the relevant information.
- Followed by this, click on download the certificate of incorporation (COI)
